By accessing our website, requesting our services, submitting an inquiry, entering into a service agreement, or purchasing services from us, you agree to these Terms. If you do not agree with these Terms, please do not use our website or services.

- Other digital services described in a proposal, quotation, statement of work, or service agreement
Specific services, deliverables, fees, timelines, and requirements may be established in a separate written proposal, quotation, statement of work, or agreement.
3. Service Proposals and Acceptance
Before beginning a project, we may provide a proposal, quotation, statement of work, or other description of the services.
The applicable project document may specify:
- Scope of work
- Deliverables
- Fees
- Payment schedule
- Estimated timeline
- Number of revisions
- Customer responsibilities
- Project milestones
- Other applicable terms
A project may begin after the customer accepts the applicable proposal or agreement and satisfies any required initial payment or deposit.
4. Customer Responsibilities
Customers are responsible for providing accurate and timely information, materials, access credentials, approvals, and feedback reasonably required to perform the services.
Customers represent that they have the necessary rights and permissions to provide us with materials such as:
- Text
- Images
- Logos
- Videos
- Software
- Trademarks
- Data
- Other content
Customers are responsible for ensuring that materials they provide do not infringe third-party rights or violate applicable law.
Delays caused by missing information, approvals, access, payments, or customer-requested changes may affect project timelines.
5. Payments
Fees and payment schedules will be stated in the applicable proposal, quotation, invoice, or service agreement.
Unless otherwise agreed:
- Deposits and project payments are due according to the agreed payment schedule.
- Work may be paused if required payments are overdue.
- Additional work outside the agreed scope may incur additional charges.
- Third-party costs may be charged separately where applicable.
- Examples of third-party costs may include hosting, domains, premium software, advertising spend, licenses, plugins, stock assets, or other external services.
6. Scope Changes and Additional Work
Requests outside the agreed scope may require a revised quotation or additional fee.
We may request written approval before performing significant additional work.
Changes to project requirements may affect delivery timelines.
7. Revisions and Approvals
The number of revisions included in a project may be specified in the applicable proposal or service agreement.
Customers are responsible for reviewing and approving deliverables within a reasonable period.
Additional revisions or substantial changes beyond the agreed scope may incur additional fees.
8. Website and Technology Services
Website performance may depend on third-party technologies, hosting providers, domain registrars, browsers, operating systems, plugins, APIs, payment providers, and other external services.
We cannot guarantee uninterrupted availability of third-party services.
Unless expressly agreed in writing, website hosting, domain registration, third-party licenses, maintenance, security monitoring, and ongoing technical support are separate services.
9. SEO and Digital Marketing
SEO and digital marketing results depend on many factors outside our control, including search-engine algorithms, competition, market conditions, advertising platforms, customer behavior, website quality, budgets, and third-party policies.
We do not guarantee:
- Specific search-engine rankings
- Specific traffic levels
- Specific advertising results
- A particular number of leads or sales
- Guaranteed return on advertising spend
- Continued ranking for any specific keyword
Where paid advertising is involved, advertising-platform fees or media spend are separate from our professional service fees unless expressly stated otherwise.
10. Intellectual Property
Unless otherwise agreed in writing, Techno Guide retains ownership of its pre-existing materials, tools, processes, templates, frameworks, know-how, code libraries, systems, and other intellectual property developed independently of a specific customer project.
Upon receipt of full payment, and subject to the applicable project agreement, the customer may receive rights to use final project deliverables created specifically for the customer.
Third-party materials remain subject to their respective licenses.
We may use general knowledge, skills, techniques, and non-confidential experience gained while providing services.
11. Customer Materials
Customers retain ownership of materials they provide to us.
By providing materials to Techno Guide, the customer grants us the rights reasonably necessary to use, reproduce, modify, and process those materials for the purpose of providing the agreed services.
Customers are responsible for obtaining all required permissions for materials they provide.
12. Confidentiality
We will use reasonable measures to protect confidential business information provided to us in connection with a project.
Confidential information does not include information that:
- Is publicly available through no breach of these Terms
- Was already lawfully known to us
- Is independently developed
- Is lawfully received from another source
- Must be disclosed by law or legal process
Additional confidentiality obligations may be established in a separate NDA or service agreement.
13. Third-Party Services
Our services may involve third-party platforms, software, hosting providers, advertising platforms, APIs, plugins, or other services.
We are not responsible for changes, outages, suspensions, price increases, policy changes, security incidents, or other actions by third-party providers.
Customers may be required to maintain their own third-party accounts and subscriptions.
14. Website Use
You agree not to:
- Use the website for unlawful purposes
- Attempt unauthorized access to our systems
- Introduce malicious software
- Interfere with website security or operation
- Impersonate another person or business
- Provide fraudulent information
- Misuse our services
- Infringe intellectual-property rights
- Use the website in a manner that violates applicable law
We may restrict or terminate access where we reasonably believe these Terms have been violated.
15. Cancellation and Refunds
Cancellation and refund rights are governed by our Refund & Cancellation Policy and any separate written service agreement.
Where a project has already begun, amounts relating to work completed, approved milestones, third-party costs, or non-refundable expenses may not be refundable except where required by applicable law or agreed otherwise in writing.
16. Disclaimer of Warranties
To the fullest extent permitted by applicable law, our website and services are provided on an “as is” and “as available” basis.
We do not warrant that:
- The website will always be available
- The website will be error-free
- Third-party platforms will remain available
- Services will achieve a particular commercial result
- Search engines or advertising platforms will produce a particular outcome
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Techno Guide LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website or services.
Where permitted by law, our aggregate liability relating to a specific service will not exceed the amount actually paid to Techno Guide for that service during the applicable period giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Techno Guide LLC and its owners, officers, employees, contractors, and agents from claims, losses, liabilities, damages, and reasonable expenses arising from:
- Your unlawful use of our website or services
- Your violation of these Terms
- Materials supplied by you that infringe third-party rights
- Your violation of applicable law
- Your misuse of a deliverable or service
19. Suspension or Termination
We may suspend or terminate services where:
- Payments are materially overdue
- The customer materially breaches an agreement
- Continued work would violate applicable law
- The customer engages in abusive, fraudulent, or unlawful conduct
Termination does not automatically eliminate payment obligations for services already performed or expenses already incurred.
20. Governing Law
These Terms will be governed by the laws applicable to Techno Guide LLC and the jurisdiction identified in the applicable service agreement, without regard to conflict-of-law principles.
Where a separate written service agreement contains governing-law or dispute-resolution provisions, those provisions will control for that project.
21. Dispute Resolution
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through direct communication.
If a dispute cannot be resolved informally, the parties may pursue remedies available under applicable law and any dispute-resolution provisions contained in an applicable written service agreement.
22. Changes to These Terms
We may update these Terms from time to time.
Updated Terms will be posted on this page with a revised “Last Updated” date.
Changes will apply prospectively unless otherwise required by law.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
24. Entire Agreement
These Terms, together with any applicable proposal, statement of work, service agreement, and other written agreements between Techno Guide and the customer, constitute the agreement governing the applicable services.
Where there is a conflict, the more specific written service agreement will control for that project.
